Terms & Conditions
These terms govern the contractual engagement between Ondigma Infotech and our esteemed clients, establishing transparency, mutual accountability, and intellectual property ownership.
1. Acceptance of Terms
By browsing this website (https://ondigma.com), requesting an audit, engaging in digital consultations, or commissioning digital projects through signed Statements of Work (SOW), you ("Client", "you", or "your") agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a corporate entity, you warrant that you possess the authority to bind such entity.
2. Scope of Agency Services
Ondigma Infotech delivers full-service digital consulting and engineering, encompassing:
- Branding & Creative Strategy: Brand identity guidelines, logo architectures, typography hierarchies, and visual assets.
- UI/UX & Web Design: Human-centered user research, wireframing, high-fidelity prototypes (Figma), and custom interactive design systems.
- Full-Stack Web Development: Headless CMS setups, modern JAMstack and bespoke web applications, responsive architectures, and API integrations.
- E-Commerce Solutions: Shopify Plus, WooCommerce, and custom headless storefront development, conversion-rate optimization (CRO), and checkout engineering.
- Digital Marketing & SEO: Technical SEO audits, content architecture, keyword strategy, speed optimization, and performance campaigns.
Agile Statements of Work (SOW)
Every commercial engagement is executed under a detailed Statement of Work (SOW) outlining project milestones, timeline estimates, deliverable specifications, and investment breakdowns.
3. Intellectual Property Rights & Ownership
We respect and value intellectual property rights:
- Client Ownership: Upon receipt of full and final payment for all agreed deliverables in an SOW, Ondigma Infotech assigns all right, title, and interest in and to the final bespoke creative deliverables (including custom design files, bespoke codebases, and brand marks) to the Client.
- Pre-Existing Tools & Frameworks: Ondigma retains ownership of all proprietary code libraries, boilerplate configurations, design frameworks, and internal development tools developed prior to or independently of the client engagement. Clients are granted a perpetual, royalty-free, non-exclusive license to use such components as integrated into the final deliverable.
- Portfolio Rights: Ondigma Infotech reserves the customary right to display non-confidential project visuals, case studies, and awards on our website, social media, and industry showcases, unless explicitly restricted by a separate non-disclosure agreement (NDA).
4. Client Responsibilities & Content
To maintain project velocity and meet project milestones, the Client agrees to:
- Provide required content assets (high-resolution media, copy, brand guidelines, access credentials) in a timely manner.
- Designate a primary project point-of-contact with decision-making authority for milestone sign-offs.
- Ensure that all materials provided to Ondigma do not infringe upon any third-party copyrights, trademarks, or proprietary rights.
5. Invoicing, Payments & Milestones
Unless otherwise agreed in an applicable Statement of Work:
- Engagements typically operate on milestone schedules (e.g., initial deposit upon signing, design sign-off, staging review, and final production handover).
- Invoices are payable within fourteen (14) calendar days from the date of issue.
- Late payments may result in a temporary suspension of development velocity or deployment schedules until arrears are cleared.
6. Revisions & Scope Modifications
Our standard project quotes include up to two (2) rounds of revisions per milestone phase (e.g., wireframe phase, visual design phase). Requests for modifications exceeding the agreed project scope or substantial pivots after milestone sign-off will be quoted transparently via a Change Order request prior to execution.
7. Confidentiality & Non-Disclosure
Both parties agree to hold all proprietary and confidential information disclosed during the project in strict confidence. Neither party shall disclose confidential business insights, roadmap plans, or financial terms to third parties without prior written consent, except as required by law.
8. Warranties & Limitation of Liability
Ondigma Infotech warrants that all services will be executed in a professional, workmanlike manner adhering to prevailing industry standards. We provide a complimentary 30-day post-launch warranty covering bug fixes and technical corrections for work delivered under the original SOW.
To the maximum extent permitted by applicable law, in no event shall Ondigma Infotech be liable for indirect, incidental, consequential, special, or punitive damages (including lost profits or business interruption), and total agency liability shall not exceed the total fees paid by Client for the specific deliverable giving rise to liability.
9. Termination of Agreement
Either party may terminate an ongoing engagement upon fourteen (14) days written notice. In the event of early termination, the Client is responsible for fees corresponding to all work completed up to the effective termination date.
10. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal dispute, claim, or controversy arising out of or related to these terms shall be submitted to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
